The Web Cat Society is a collection of digital artworks (NFTs) running on the blockchain. As a result, users are fully responsible for the security and management of their own private wallets and the validation of all transactions and contracts generated by this website prior to approval. Additionally, since The Web Cat Society’s smart contract is executed on the  blockchain, there is no way to reverse, rollback, or restore transactions.

This website as well as its related services are provided “as is” and “as available” without warranty of any kind. By using this website, you accept sole responsibility for all transactions involving The Web Cat Society digital collectibles.

NFT License

I. By legally obtaining a The Web Cat Society NFT (“Webcat Society NFT”) either directly from The Web Cat Society or on a secondary market, you are the owner of that applicable NFT (“User Owned NFT”).

II. Subject to compliance with all other relevant terms and conditions, for as long as you own the User Owned NFT, we grant you a limited, personal, non-exclusive, non-sublicensable, worldwide license under any copyright owned by The Web Cat Society to: (1) copy and modify the User Owned NFT (“Derivative NFT”) for non-commercial, personal use; and (2) display and perform the User Owned NFT and/or Derivative NFT for non- commercial, personal use.

III. Furthermore, for as long as you own the User Owned NFT, we grant you a limited, personal, non-exclusive, worldwide license under any copyright owned by the The Web Cat Society over that particular User Owned NFT to: (1) copy the User Owned NFT and/or Derivative NFT on to physical merchandise or digital collectibles (“Licensed Merchandise”); (2) copy, display and perform the User Owned NFT and/or Derivative NFT for purposes of promoting and marketing the Licensed Merchandise, and (3) distribute the copies of User Owned NFT and/or Derivative NFT printed on the Licensed Merchandise in connection with the sale of the Licensed Merchandise, including doing any of the foregoing for commercial purposes up to the dollar limitations set forth herein.

Nothing in this license allows for the use of the The Web Cat Society trademark, logo, or any The Web Cat Society intellectual property other than the copyright rights explicitly licensed herein. Licensees are explicitly prohibited from using the The Web Cat Society name in a way which may create confusion, mistake or deception about source or origin of the licensed merchandise.

IV. “Total Proceeds” shall mean gross revenue without any deductions. In no event may the Total Proceeds for all Licensed Merchandise for any single User Owned NFT and/or its Derivative NFT(s) exceed One Million US Dollars ($1,000,000) in aggregate during any calendar year (January 1-December 31). Once Total Proceeds has reached $1,000,000, or is expected to reach $1,000,000 in any calendar year, you must notify The Web Cat Society and all sales or other distribution of Licensed Merchandise and any sales in excess of $1,000,000 must cease unless you and The Web Cat Society have agreed in writing to the terms that will govern any future sales. Tracking and recording of Total Proceeds for the purpose of these dollar limitations will be done using generally accepted accounting principles. You will make such records available to The Web Cat Society from time to time upon request of The Web Cat Society for purposes of verifying your compliance with these Terms and Conditions.

V. You will indemnify and hold harmless, and at The Web Cat Society’s request defend, The Web Cat Society from and against any and all claims, demands, liabilities, damages, penalties, fines, taxes, costs and expenses (including without limitation reasonable attorneys’ fees and court costs) arising out of or in connection with (a) any breach of these Terms or unauthorized use of any The Web Cat Society-Owned Content, or (b) the design, manufacture, sale or other distribution or disposal of any Licensed Merchandise.

Reservation of rights

I. The Web Cat Society reserves the right to modify these Terms and Conditions at any time. The Web Cat Society may freely transfer, assign, or delegate these Terms and Conditions in whole or in part, without your prior written consent. The failure of The Web Cat Society to exercise or enforce any right or provision of these Terms and Conditions will not operate as a waiver of such right or provision. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity.

II. Nothing in these Terms and Conditions shall prohibit The Web Cat Society from granting any licenses on any The Web Cat Society owned intellectual property, including but not limited to any User Owned NFT, to any third-parties under separate terms and conditions.

In plain speak

Our license gives the owner of a Web Cat Society NFT the freedom to monetize their NFT in various ways such as creating clothing, comics, derivative art and more. Be creative!

However, there are two restrictions: (1) If the revenue from the commercialized product exceeds $1 million annually, the owner must enter into a separate agreement with The Web Cat Society to preserve its vision and protect against corporate exploitation, and (2) the creator of the product must be clearly stated and cannot suggest that The Web Cat Society is the originator.

Collaborations between Web Cat Society NFT owners on joint projects is not only allowed, but encouraged. We want NFT owners to maximize the potential of their NFTs and broaden the Web Cat universe. Cats support Cats.

NFT License Examples

Examples of what you’re allowed to do with your Web Cat Society NFT:

1. Sell T-shirts or other apparel with your Web Cat Society NFT on them, either through your own marketplace or by selling in bulk to another retailer.

2. Create a kids comic or art book with other Web Cat Society NFT owners.

3. Sublicensing your Web Ca Society NFT to others to use (as long as they don’t make over $1 million a year).

4. Creating and selling derivative art using your owned Web Cat Society NFT.

Examples of what you’re not allowed to do with your Web Cat Society NFT:

1. Selling over $1 million in merchandise in a year without approval of The Web Cat Society team.

2. Let a big company like Amazon or Netflix sell merchandise with your Web Cat NFT without permission from The Web Cat Society team.

3. Make people think that The Web Cat Society team made or is connected to what you’re selling.

4. Use images or other content you don’t own without getting permission from the person who owns it.
